Limited Liability Partnership (LLP) is a legal vehicle for a partnership. Each partner has limited personal liability for debts or claims of the partnership. Partners of an LLP aren’t held responsible for the acts of other partners. The services available under an LLP include:
- LLP Registration
- Re-Registration
- Amendments
- Annual filing– filed annually before the end of February
- Filing of documents- Filing of restated articles/ by-laws
- Dissolution
Requirements to register an LLP include:
- Availability of the LLP Name-you may conduct a search of existing names here. You can also reserve a name in OBRS for free for up to 10 days.
- Social Security ID of partners
- Principal Address of LLP
- Principal Address of each partner
- Declaration- stating the partner responsible to register and manage the LLP in OBRS. The declaration must be signed by both partners.
- Bond
- Nature of Business
- Self- Register in OBRS
